2022 Professional Farm Manager of the Year Award Contest Official Rules NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING. ELIGIBILITY: The 2022 Professional Farm Manager of the Year Award Contest (the “Contest”) is open only to Entrants who are legal residents of the fifty (50) United States and the District of Columbia who are at least the age of majority in their state of residence, have at least five (5) years of farm management experience and are a member of the American Society of Farm Managers & Rural Appraisers (“Entrant”). Officers, directors, agents and employees of Syngenta, American Society of Farm Managers & Rural Appraisers (“ASFMRA”), Farm Journal, Inc., and each of their respective affiliates and subsidiaries, as well as the advertising and promotion agencies and suppliers involved in this Contest, and/or those living in the same household of each are not eligible to be an Entrant. Past winners of the Professional Farm Manager of the Year Award from the previous thirty-six (36) years, are not eligible to win this Contest. AGREEMENT TO OFFICIAL RULES: Participation in this Contest constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Contest. Winning the prize is contingent upon fulfilling all requirements set forth herein. ENTRY PERIOD: Entry period begins at 12:00:00 AM Eastern Time (“ET”) on September 19, 2022, and ends at 11:59:59 PM ET on September 30, 2022 (“Entry Period”). HOW TO ENTER: During the Entry Period, follow the directions to complete the required fields on the entry form: 2022 Professional Farm Manager of the Year Award Application.docx An eligible team is two (2) or more eligible Entrants who work in the same office and jointly manage farms or assets together for common landowners, collaborate on a regular basis in reference to the management of those accounts and assets, share resources and have the same client contacts in the same region (“Team”). Teams cannot consist of individuals who work for a company that has offices in more than two (2) U.S. states. All members of the Team must meet all eligibility requirements, including age requirements. Once an Entry is submitted, it may not be edited or resubmitted. No correspondence regarding the screening or verification of Entries will be undertaken by Sponsor, except as specified in these Official Rules. No correspondence regarding Entries will be entered into with Entrants/Teams, except as specified in these rules. All Entries will be reviewed for compliance with these Official Rules. The completed Entry Forms must be emailed to Heather Manhardt at G&S Business Communications via hmanhardt@gscommunications.com by 11:59 p.m. Eastern Time on September, 30, 2022. The Entry Form (collectively, the “Entry”) will be judged using the judging criteria listed below to determine the highest scoring Entrant/Team from among all eligible Entries. After evaluation of the Entrant's responses to questions in each of the above categories, the Sponsor will determine the winner based on the Entrant with the highest score. In the event of a tie, the tie will be broken based on the highest score for the “Retention of Clients” category. If a tie remains, it will then be broken based on the highest score for the Average crop yields and marketing success” category. Judges’ decisions are final on all matters relating to this Contest. ONE (1) PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”): One (1) winner will receive one (1) personalized plaque. ARV: $100. Prize must be accepted as awarded. Prize is awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsor or for which Sponsor shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Sponsor reserves the right to substitute prize of equal or greater value if advertised prize is unavailable for any reason. No substitution, cash redemption or transfer of prize by winner permitted. All federal, state and local taxes are the sole responsibility of winner. In addition, Sponsor will make a $1,000 donation to a recognized, reputable, legal 501(c)(3) involved in agriculture and/or farming or other legally recognized agriculture charity or not-for-profit agriculture organization in good standing, as selected by the winner. The charity selected is subject to Sponsor's final approval. NOTIFICATION: The winner will be announced during the 2022 ASFMRA Annual Convention scheduled to take place November 9-11, 2022, at the San Antonio Marriott Rivercenter in San Antonio, Texas. The winner does not need to be present at announcement. REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: Entrants/Teams represent and warrants as follows: (i) the Submission is the Entrant’s/Team’s own original, previously unpublished, and previously unproduced work; (ii) the entry does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; and (iii) the entry does not and will not violate any applicable laws and is not and will not be defamatory or libelous. Each Entrant/Team hereby agrees to indemnify and hold the “Promotion Entities” (as defined below) harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder. GRANT OF RIGHTS: Each Entrant/Nominee/Team irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display his/her Submission in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Promotion and other promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the entry for any purpose which Sponsor deems necessary or desirable, and each Entrant/Nominee/Team irrevocably waives any and all so-called moral rights they may have therein. GENERAL RULES: Personal information submitted by Entrant/Nominators/Teams is subject to the Sponsor’s privacy policy available at http://www.syngenta-us.com/legal/privacypolicy.html. Except where prohibited, by participating in the Contest, Entrant/Nominators/Teams agree to release and hold harmless Sponsor, The American Society of Farm Managers & Rural Appraisers, Farm Journal, Inc., prize providers and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and Contest agencies and each of their respective officers, directors and employees of them (the “Promotion Entities”) from and against any claim or cause of action arising out of participation or attempt to participate in the Contest or acceptance, receipt or use or misuse of the prize, including, but not limited to: (a) interrupted or unavailable network, server or other connections, miscommunications, failed telephone, computer hardware, software and other technical failures of any kind, including, unauthorized human intervention, garbled, jumbled or delayed computer transmissions or other errors of any kind, whether human, mechanical or electronic, including without limitation, the incorrect or inaccurate capture of entry information online regardless of cause that may limit a user's ability to participate in the Contest; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) typographical or other errors in printing; or incorrect announcements of any kind; (d) errors in the administration of the Contest or the processing of Entries; lost, late, damaged, misdirected, illegible, delayed, incomplete, unintelligible or misdirected Entries, Entries not received by the Entry deadline; (e) injury or damage to persons or property which may be caused directly or indirectly, in whole or in part from Entrant’s participation in the Contest or receipt, use or misuse of any prize. In the event of termination, a notice will be posted at www.farmmanageroftheyear.com and judging will be conducted from among all eligible Entries received prior to the time of termination. The failure of the Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, pandemic, epidemic, outbreak, terrorism, act of public enemies, or actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules. Proof of submitting an Entry will not be deemed to be proof of receipt by Sponsor. Multiple Entrants are not permitted to share the same email address. Any attempt by a participant to exceed or manipulate the entry limitations, by using multiple/different email addresses or any other methods, will void that Entrant’s entries and that Entrant may be disqualified. Acceptance of prize constitutes permission to the Sponsor and their respective affiliates, subsidiaries, advertising and promotion agencies, and suppliers to use Award winner’s Entry, name and/or likeness for purposes of advertising and trade without further compensation, unless prohibited by law. PLEASE NOTE: It is your sole responsibility to review and understand your employer’s policies regarding your eligibility to participate in trade promotions. Sponsor disclaims any and all liability or responsibility for disputes arising between an employee and their employer related to participation in this Contest and/or acceptance of a prize. ARBITRATION/CHOICE OF LAW: Except where prohibited, Entrants/Nominators/Teams agree that any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded, or the determination of the winner shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association then effective, and any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees, punitive, incidental, consequential or other damages. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants/Nominators/Teams and Sponsor and/or Sponsor’s agencies in connection with the Contest shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard for conflicts of law doctrine, and all proceeding shall take place in North Carolina.
